7.a Resolution Number 27-26UD: A Resolution of the Board of Directors of the City of Riviera Beach Utility Special District (the “District”), relating to the State Revolving Fund Loan Program (the “SRF Program”); making findings; authorizing the District to apply to the state for a loan or loans in a total amount not to exceed $242,673,224; designating authorized representatives; providing assurances; providing for conflicts, severability, and an effective date.

7.b Resolution Number 28-26UD: A Resolution of the Board of Directors of the City of Riviera Beach Utility Special District (the “District”), authorizing the negotiated sale of the City of Riviera Beach Utility Special District Water and Sewer Revenue Bonds, Series 2026 (the “Series 2026 Bonds”), in or more Series in the initial aggregate principal amount not to exceed $475,000,000 for the purpose of financing a portion of the costs of the Series 2026 project, as described herein; determining certain details of the Series 2026 Bonds; providing for the application of the proceeds of the Series 2026 Bonds; approving the form of, and authorizing the execution and delivery of a 2026A purchase contract to effect the negotiated sale of the Series 2026A Bonds and setting the parameters by which the Chairperson or the Finance Director shall be authorized to execute and deliver the 2026A purchase contract; approving the form of, and authorizing the execution of an official statement in connection with the offering and sale of the Series 2026A Bonds and authorizing the distribution of the preliminary official statement and the official statement by the underwriters; approving the form of and authorizing the execution and delivery of a 2026B Bond purchase agreement Public Comments shall begin at 5:45 PM unless there is no further business of the Board, which in that event, it shall begin sooner. In addition, if an item is being considered at 5:45 PM, then comments from the public shall begin immediately after the item has been concluded. REGULAR AGENDA to effect the negotiated private sale of the Series 2026B Bond and setting the parameters by which the Chairperson or the Finance Director shall be authorized to execute and deliver the 2026B bond purchase agreement; appointing a paying agent and registrar; appointing a calculation agent for the Series 2026B bonds; authorizing the execution and delivery of a paying agent/registrar/calculation agent agreement; appointing a disclosure dissemination agent and authorizing the execution and delivery of a disclosure dissemination agent agreement with respect to the Series 2026B Bonds; providing for the Municipal Advisor to make recommendations regarding whether to fund a Series 2026A Reserve Account, and whether to obtain a Bond Insurance Policy and/or reserve product for the Series 2026A Bonds and authorizing the officers described herein to follow such recommendations; authorizing the Series 2026A Bonds to be registered under a book-entry only system of registration; authorizing the proper officer of the District to do all other things deemed necessary or advisable in connection with the sale and delivery of the Series 2026 Bonds; and providing for an effective date.
